Wholesale Terms and Conditions
ACCCOUNT APPROVAL
Uptown All-Star approves accounts based on verified retail presence, along with alignment to Uptown All-Star's brand.
BRAND REPRESENTATION
Approved accounts must maintain brand integrity. Failure to maintain brand integrity includes, but is not limited to, unauthorized discounts below pricing shown on UPTOWNALLSTAR.COM, defaming the brand, and selling on third-party marketplaces without the consent of uptown all-star. uptown all-star holds the right to revoke wholesale accounts at its own discretion.
DETERIORATION OF BUYER'S CREDIT
Uptown All-star holds the right to terminate delivery or suspend future deliveries on orders in the event the buyer fails to pay for any one shipment when the same becomes due.
ORDERS
First orders are subject to a minimum order value of $300, unless agreed upon otherwise. Subsequent orders are subject to a maximum order value of $5000, unless agreed upon otherwise. Pre-orders must be made through the order form and confirmed in writing by Uptown All-Star. All sales are final.
PAYMENT TERMS
Payments for first orders are due upon receipt, unless agreed upon otherwise. If the first order is a pre-order, then a 50% deposit is required, unless agreed upon otherwise. All subsequent orders are subject to NET 30 terms, in which payments are due 30 days from fulfillment, unless agreed upon otherwise.
STOCK
If at any time we have lower stock than what you are in need of, we hold the right to adjust your order to what has been agreed upon via email and/or phone.
SHIPPING
Uptown All-Star will arrange delivery of goods to the buyer. The buyer is responsible for costs associated with the delivery. While the delivery service utilized by Uptown All-Star may include insurance for the Goods during transit, Uptown All-STAR makes no representations and gives no warranties in respect to such insurance and you will be responsible for obtaining any specific insurance you require in respect of the Goods during transit. Risk in respect of the Goods shall pass to you when the Goods are delivered to the carrier. Free shipping promotions and/or discount coupons for regular retail customers do not apply to Wholesale orders.
RETURNS
Damaged or defective goods may be returned within 7 days of delivery date. Uptown All-Star will pay for the return label. Refunds will be applied only after approving the claim.
